Stock Subscription Agreement

This agreement between {Corporation}, (hereafter “Company”), and {Subscriber}, (hereafter “Subscriber”) is dated this {date} and constitutes an understanding that the Subscriber is purchasing {amount of shares} at a rate of {price per share} which comes to a total of {total price}. It is also understood that the Company has relied on information supplied by the Subscriber to ensure that this arrangement is permissible and legal, and that this offer may be revoked in cases of misrepresentation. The details of this possibility have been thoroughly explained to the Subscriber.

The purchase of these shares will be completed on {date}. Full payment is due upon receipt of the shares. The subscriber will be responsible for furnishing cash for this purchase.
